Terms of Service

These Terms of Service form a binding agreement between you and Neura Infra, a Delaware entity ("Neura Infra", "we", "us"), governing your access to and use of this website and any content, documents, diagrams, forms or communications made available through it.

By accessing or using the site you confirm that you are at least eighteen years of age, that you have authority to accept these terms on behalf of any organization you represent, and that you agree to be bound by them. If you do not agree, do not use the site.

We may revise these terms by posting an updated version on this page with a new effective date. Material changes take effect on posting, and your continued use of the site after that date constitutes acceptance.

You may use the site for lawful business and informational purposes only. You may not use it in any way that damages, disables, overburdens or impairs our systems, or that interferes with any other party's use of the site.

You may not attempt to gain unauthorized access to any portion of the site or connected systems; probe, scan or test the vulnerability of our infrastructure without written authorization; circumvent technical protection measures, including the image-protection measures applied to our engineering diagrams; scrape, harvest or systematically extract content by automated means; or use the site to develop or train machine-learning models on our content without our prior written consent.

All content on this site — including text, engineering diagrams, isometric component maps, photographs, graphics, logos, wordmarks, data compilations, layouts and software — is owned by Neura Infra or its licensors and protected by United States and international copyright, trademark, trade-dress and other intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable licence to view and print content for your internal evaluation of a potential engagement with us. All other use — reproduction, redistribution, adaptation, public display, commercial exploitation or incorporation into another work or dataset — requires our prior written permission. All rights not expressly granted are reserved.

"Neura Infra", the Neura Infra monogram and our wordmark are our marks. Third-party names or standards referenced on the site are the property of their respective owners and are used for identification only; reference does not imply endorsement, certification or partnership unless expressly stated.

All capacities, schedules, cost figures, efficiency metrics, comparison tables and delivery timelines shown on the site are indicative reference values based on representative programs. Actual results vary project by project with site conditions, utility availability, supply chain, regulatory approvals and scope.

Nothing on the site constitutes engineering, legal, tax, financial or investment advice, a warranty of performance, a binding quotation, or an offer to sell or solicitation to buy securities or services. Commercial commitments arise only under a separate written agreement signed by an authorized representative of Neura Infra.

Forward-looking statements about capacity, deployment schedules or market conditions reflect current expectations only, are subject to risks and uncertainties, and are not guarantees of future outcomes.

Information you submit through our forms is handled in accordance with our Privacy Policy. Do not submit confidential, export-controlled or trade-secret information through the site; unless we have signed a non-disclosure agreement with you, submissions are not treated as confidential.

If you send us ideas, feedback or suggestions, you grant us a perpetual, worldwide, royalty-free licence to use them without restriction or compensation. You are responsible for the accuracy and lawfulness of everything you submit, and you represent that you have the right to provide it.

The site may reference or link to third-party websites, standards bodies, certifications or specialist suppliers. We do not control and are not responsible for their content, products, services, availability or practices, and inclusion does not constitute endorsement. Your dealings with any third party are solely between you and that party.

The site and all content are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including the implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

We do not warrant that the site will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the site is free of viruses or other harmful components. Some jurisdictions do not permit the exclusion of certain warranties, so parts of this section may not apply to you.

To the fullest extent permitted by law, neither Neura Infra nor its affiliates, officers, directors, employees, agents or licensors are liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, business interruption or procurement of substitute services, arising out of or relating to the site or its content, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility of such damages.

Our aggregate liability for all claims relating to the site will not exceed one hundred United States dollars (US$100). These limitations are an essential basis of the bargain and apply notwithstanding the failure of any limited remedy.

You agree to indemnify, defend and hold harmless Neura Infra and its affiliates, officers, directors, employees, agents and licensors from and against any claims, liabilities, damages, losses, judgments, costs and reasonable attorneys' fees arising out of or relating to your use of the site, your submissions, or your breach of these terms or of applicable law.

You represent that you are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive United States sanctions, and that you are not a party on any restricted-party list maintained by the United States or other applicable authority. You agree to comply with all applicable export-control, sanctions and anti-corruption laws in connection with your use of the site.

These terms and any dispute, claim or controversy arising out of or relating to them or to the site are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

The parties submit to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware, including the Delaware Court of Chancery where it has subject-matter jurisdiction, and waive any objection based on venue or inconvenient forum. Each party waives any right to a trial by jury and agrees that claims must be brought individually and not as a class or representative action.

Any claim relating to the site must be filed within one year after the claim arose, or it is permanently barred, except where applicable law prohibits such a limitation.

If you believe content on the site infringes your copyright, send a written notice to legal@neurainfra.com identifying the work, the material at issue and its location, your contact details, a statement of good-faith belief that the use is unauthorized, a statement that the notice is accurate under penalty of perjury, and your physical or electronic signature. We will investigate and respond as required by the Digital Millennium Copyright Act.

If any provision of these terms is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them to an affiliate or successor in interest.

We are not liable for any failure or delay caused by events beyond our reasonable control, including utility or network outages, acts of God, labour disputes or governmental action. These terms, together with the Privacy Policy, constitute the entire agreement between you and Neura Infra regarding the site and supersede all prior understandings on that subject.
